Contango Oil & Gas Company (Contango) is an independent natural gas and oil company. The Company�� core business is to explore, develop, produce and acquire natural gas and oil properties onshore and offshore in the Gulf of Mexico in water-depths of less than 300 feet. Contango Operators, Inc. (COI), its wholly owned subsidiary, acts as operator on its properties.

Offshore Gulf of Mexico Activities

Contango, through its wholly-owned subsidiary, COI and its partially owned affiliate, Republic Exploration LLC (REX), conducts exploration activities in the Gulf of Mexico. COI drills, and operates its wells in the Gulf of Mexico, as well as attends lease sales and acquires leasehold acreage. As of August 24, 2012, the Company's offshore production was approximately 83.5 million cubic feet equivalent per day, net to Contango, which consists of seven federal and five state of Louisiana wells in the shallow waters of the Gulf of Mexico. These 12 operated wells produce through the four platforms: Eugene Island 24 Platform, Eugene Island 11 Platform, Ship Shoal 263 Platform, Vermilion 170 Platform and Other Activities.

This third-party owned and operated production platform at Eugene Island 24 was designed with a capacity of 100 million cubic feet per day and 3,000 barrels of oil per day. This platform services production from the Company�� Dutch #1, #2 and #3 federal wells. From this platform, the gas flows through an American Midstream pipeline into a third-party owned and operated on-shore processing facility at Burns Point, Louisiana, and the condensate flows through an ExxonMobil pipeline to on-shore markets and multiple refineries. As of August 24, 2012, it was producing approximately 22.5 million cubic feet equivalent per day, net to Contango, from this platform. The Company finished laying six inches auxiliary flowlines from the Dutch #1, #2, and #3 wells to its Eugene Island 11 Platform and is in the process of redirecting production from the Eugene Island 24! Platform to the Eugene Island 11 Platform.

The Company�� Company-owned and operated platform at Eugene Island 11 was designed with a capacity of 500 million cubic feet equivalent per day and 6,000 barrels of oil per day. These platforms service production from the Company�� five Mary Rose wells, which are all located in state of Louisiana waters, as well as its Dutch #4 and Dutch #5 wells, which are both located in federal waters. From these platforms, it can flow its gas to an American Midstream pipeline through its eight inches pipeline and from there to a third-party owned and operated on-shore processing facility at Burns Point, Louisiana. It can flow its condensate through an ExxonMobil pipeline to on-shore markets and multiple refineries.

The Company�� gas and condensate can flow to its Eugene Island 63 auxiliary platform through its 20 inches pipeline, which has been designed with a capacity of 330 million cubic feet equivalent per day and 6,000 barrels of oil per day, and from there to third-party owned and operated on-shore processing facilities near Patterson, Louisiana, through an ANR pipeline. As of August 24, 2012, it was producing approximately 44.6 million cubic feet equivalent per day, net to Contango, from this platform.

The Company�� owned and operated platform at Ship Shoal 263 was designed with a capacity of 40 million cubic feet equivalent per day and 5,000 barrels of oil per day. This platform services natural gas and condensate production from our Nautilus well, which flows through the Transcontinental Gas Pipeline to onshore processing plants. As of August 24, 2012, it was producing approximately 3.0 million cubic feet equivalent per day, net to Contango, from this platform. As of June 30, 2012, the Company owed a 100% working interest and 80% net revenue interest in this well and platform.

The Company�� owned and operated platform at Vermilion 170 was designed with a capacity of 60 million cubic feet equivalent per ! day and 2! ,000 barrels of oil per day. This platform services natural gas and condensate production from its Swimmy well, which flows through the Sea Robin Pipeline to onshore processing plants. As of August 24, 2012, it was producing approximately 13.4 million cubic feet equivalent per day, net to Contango, from this platform.

On July 10, 2012, the Company spud its South Timbalier 75 prospect (Fang) with the Spartan 303 rig. It has a 100% working interest in this wildcat exploration prospect. On July 3, 2012, the Company spud its Ship Shoal 134 prospect (Eagle) with the Hercules 205 rig. The Company purchased the deep mineral rights on Ship Shoal 134 from an independent third-party. It has a 100% working interest in this wildcat exploration prospect. On December 21, 2011, the Company purchased an additional 3.66% working interest (2.67% net revenue interest) in Mary Rose #5 (previously Eloise North). The Company has a 47.05% working interest (38.1% net revenue interest) in Dutch #5.

Offshore Properties

During the fiscal year ended June 30, 2012 (fiscal 2012), State Lease 19396 expired and was returned to the state of Louisiana. As of August 24, 2012, the interests owned by Contango through its affiliated entities in the Gulf of Mexico, which were capable of producing natural gas or oil included Eugene Island 10 #D-1, Eugene Island 10 #E-1, Eugene Island 10 #F-1, Eugene Island 10 #G-1, Eugene Island 10 #I-1, S-L 18640 #1, S-L 19266 #1, S-L 19266 #2, S-L 18860 #1, S-L 19266 #3 and S-L 19261, Ship Shoal 263, Vermilion 170 and West Delta 36. As of August 24, 2012, interests owned by Contango through its related entities in leases in the Gulf of Mexico included Eugene Island 11, East Breaks 369, South Timbalier 97, Ship Shoal 121, Ship Shoal 122, Brazos Area 543, Ship Shoal 134 and South Timbalier 75.

Onshore Exploration and Properties

As of August 24, 2012, the Company had invested in Alta Energy Canada Partnership (Alta Energy) to purchase over! 60,000 a! cres in the Kaybob Duvernay. Contango has a 2% interest in Alta Energy and a 5% interest in the Kaybob Duvernay project. On April 9, 2012, the Company announced that through its wholly owned subsidiary, Contaro Company, it had entered into a Limited Liability Company Agreement (the LLC Agreement) to form Exaro Energy III LLC (Exaro). The Company owns approximately a 45% interest in Exaro. Exaro has entered into an Earning and Development Agreement (the EDA Agreement) with Encana Oil & Gas (USA) Inc. (Encana) to provide funding to continue the development drilling program in a defined area of Encana�� Jonah field asset located in Sublette County, Wyoming.

As of June 30, 2012, the Exaro-Encana venture had three rigs drilling, has completed five wells and achieved first production. As of August 24, 2012, the Company had invested to lease approximately 25,000 acres in the Tuscaloosa Marine Shale (TMS), a shale play in central Louisiana and Mississippi.

    And finally, there are the Kinder Morgan triplets, Kinder Morgan, Inc. (KMI) and Kinder Morgan Management (KMR) and Kinder Morgan Partners (KMP), which fell 6%, 4.7% and 3%, respectively today. The reason for the drop: a press release from Hedgeye Risk Management, which called Kinder Morgan “a house of cards,” and said to expect a report on Sept. 10, explaining why. Deutsche Bank came out with its own note today defending Kinder Morgan, but the damage was done.     Kinder Morgan’s corporate structure is convoluted.�Kinder Morgan� is the general partner, which reaps distributions from underlying businesses. It pays a 4.2% yield. �Kinder Morgan Energy Partners,�the main pipeline MLP enterprise, �pays a 6.5% yield in the form of a cash distribution like most MLPs. �Kinder Morgan Management�(KMR) was created to pay distributions in shares given the tax-and-accounting headaches of MLPs. But KMR still offers tax deferrals. Following an acquisition, Kinder also controls�El Paso Pipeline Partners�(EPB), whose yield is 5.7%. Mobile Telecommunication Services

As of December 31, 2010, the Company had approximately 7.8 million subscribers located in 1,281 municipalities in Region II. As of December 31, 2010, 87.5% of the Company�� customers subscribed to pre-paid plans and 12.5% subscribed to post-paid plans. The Company markets Oi Ligador subscriptions to its pre-paid customers, which allow these customers to receive bonus minutes with each purchase of additional credits. It charges a nominal subscription fee to enroll a customer in the Oi Ligador program and provide bonus minutes to these customers that may be used for local calls to its fixed-line or mobile subscribers, long-distance calls to its fixed-line subscribers, and sending Short Message Service (SMS, messages to mobile subscribers of any Brazilian mobile service provider.

The Company has roaming agreements with TNL PCS S.A., a wholly owned subsidiary of Telemar which provides mobile services and which it refers to as Oi, Companhia de Telecomunicacoes do Brasil Central (CTBC), and Sercomtel S.A. Telecomunicacoes (Sercomtel), providing its customers with automatic access to roaming services when traveling outside of Region II in areas of Brazil where mobile telecommunication services are available on the GSM standard. As of December 31, 2010, it had launched third generation (3G) services in a total of 84 municipalities, ! including! the nine state capitals in Region II and the Federal District. As of December 31, 2010, it had approximately 175,200 3G mobile broadband customers.

Data Transmission Services

The Company provides Internet access services using ADSL technology, which it refers as broadband services, to residential customers and businesses in the primary cities in Region II under the brand name Oi Velox. As of December 31, 2010, the Company offered broadband services in 1,810 municipalities in Region II and it had 1.9 million ADSL customers. Its network supports ADSL2+, VDSL2 and FTTx technologies. ADSL2+ is a data communications technology that allows data transmission at speeds of up to 24 megabits per second downstream and 1 megabits per second upstream. ADSL2+ permits offer a range of services than ADSL, including Internet protocol television (IPTV). As of December 31, 2010, approximately 50% of its fixed-line network had been updated to support ADSL2+. Very-high-bitrate digital subscriber line (VDSL2), is a DSL technology providing faster data transmission, up to 100 megabits per second upstream (downstream and upstream). Fiber to the x (FTTx), is a broadband network architecture that uses optical fiber to replace all or part of the usual metal local loop used for last mile telecommunications.

The Company provides a range of data transmission services through various technologies and means of access. Its commercial data transmission services include Industrial Exploitation of Dedicated Lines (Exploracao Industrial de Linha Dedicada (EILD)), under which it leases trunk lines to other telecommunication services providers, primarily mobile services providers, which use these trunk lines to link their radio base stations to their switching centers; Dedicated Line Services (Servicos de Linhas Dedicadas (SLD)), under which it leases dedicated lines to other telecommunication services providers, Internet service providers (ISPs) and corporate customers for use in private networks that! link dif! ferent corporate Websites; Internet Protocol (IP) services, which consist of dedicated private lines and dial-up Internet access, which it provides to the ISPs in Brazil, as well as Virtual Private Network (VPN), services that enable its customers to operate private Intranet and extranet networks, and frame relay services, which the Company provides to its corporate customers to allow them to transmit data using protocols based on direct use of its transmission lines, enabling the creation of VPNs.

Public Telephone Services

The Company owns and operates public telephones throughout Region II. As of December 31, 2010, the Company had approximately 266,100 public telephones in service, which are operated by pre-paid cards.

Value-Added Services

Value-added services include voice, text and data applications, including voicemail, caller identification (ID), and other services, such as personalization (video downloads, games, ring tones and wallpaper), short message service (SMS)subscription services (horoscope, soccer teams and love match), chat, mobile television, location-based services and applications (mobile banking, mobile search, email and instant messaging). The Company also provides advanced voice services to its corporate customers, mainly 0800 (toll free) services, as well as voice portals where customers can participate in real-time chats and other interactive voice services. This stock has been uptrending strong for the last few weeks, with shares moving higher from its low of $1.42 to its intraday high of $1.89. During that move, shares of OIBR have been consistently making higher lows and higher highs, which is bullish technical price action. That move is quickly pushing shares of OIBR within range of triggering a near-term breakout trade. That trade will hit if OIBR manages to take out some near-term overhead resistance levels at $1.89 to $2.04 with high volume.

    Traders should now look for long-biased trades in OIBR as long as it's trending above its 50-day at $1.72 or above more support at $1.60 and then once it sustains a move or close above those breakout levels with volume that's near or above 4.32 million shares. If that breakout hits soon, then OIBR will set up to re-test or possibly take out its next major overhead resistance levels at $2.25 to $2.29.     ADDvantage Technologies is controlled by the Chymiak brothers. See the company�� April 4 press release explaining their decision to turn over the CEO position to an outsider. Regardless, the Chymiaks still control 47% of the company. Ken Chymiak is now chairman. And David Chymiak is still a director and now the company�� chief technology officer. Clearly, it�� still their company.

    By the way, the name ADDvantage Technologies has nothing to do with the Chymiaks. Today�� AEY really traces its roots to a private company called Tulsat. The Chymiak brothers acquired that company about 27 years ago. So, effectively, when you buy shares of AEY you are buying into a 27-year-old family-controlled company.

    That�� pretty typical in the world of net-nets.

    Solitron

    Solitron Devices is 29% owned by Shevach Saraf. He has been the CEO for 20 years. The post-bankruptcy Solitron has never known another CEO. Before the bankruptcy, Solitron was a much bigger, much different company. So even though we are not talking about the founder here ��and even though 70% of the company�� shares are not held by the CEO ��we��e still talking about a company where one person has a lot of control. Solitron only has three directors. Saraf is the chairman, CEO, president, CFO and treasurer. Neither of the other two directors joined the board within the last 15 years. So, we aren�� talking about a lot of tumult at the top.

    In fact, profitable net-nets seem to be especially common candidates for abandoning the responsibilities of a public company without actually getting taken private.
